1. Scope
These Terms govern access to and use of Roxea, a B2B SaaS platform published by S&H Solutions.
2. Service description
Roxea allows organizations to:
- declare AI agents used within their business;
- declare tools accessible by those agents;
- document permissions and data access;
- calculate risk scores;
- generate recommendations and action plans; and
- generate audit reports.
3. Eligibility
Roxea is intended for professional and business use. Users must have authority to create or join an organization workspace and to act on behalf of the organization where applicable.
4. Account creation
Users may create an account using email and password or Google Sign-In. Users must provide accurate information and are responsible for maintaining the confidentiality of their credentials and for activity performed through their accounts.
5. Organizations and members
An organization represents a company, client or audited workspace. Owners and admins may invite members, and assigned roles may define access and permissions. Users are responsible for ensuring that invited members are authorized to access the organization’s data.
6. Trial and subscriptions
Roxea may offer a free trial with limited usage. At the end of the trial, the workspace may become read-only unless upgraded. Paid plans provide higher limits and additional access according to the selected plan. Current subscription details, prices and limits are displayed in the billing section.
Payments and subscriptions are processed through Stripe.
7. Billing
The customer is responsible for providing accurate billing information. Fees are billed according to the selected plan. Unless otherwise stated, prices are exclusive of applicable taxes. Invoices and payment management may be handled through Stripe.
8. Cancellation
Customers may manage or cancel their subscription through the billing portal when available. Cancellation may take effect at the end of the current billing period depending on Stripe configuration and plan terms. After cancellation or failed payment, access may become limited or read-only.
9. Acceptable use
Users must not:
- use Roxea for any unlawful purpose;
- attempt to disrupt, damage or compromise the service;
- access or attempt to access another organization without authorization;
- upload or enter data they are not authorized to process;
- use Roxea to violate third-party rights; or
- reverse engineer the service except where legally permitted.
10. Customer data
Customers remain responsible for the data they enter into Roxea, including agent descriptions, tools, permissions, organization information and reports. Customers must ensure they have the necessary rights and authority to process that data.
11. No legal or security guarantee
Roxea provides risk scoring, recommendations and audit reports for informational and operational purposes. Roxea does not replace legal advice, cybersecurity consulting, compliance audits, DPO advice or a professional security assessment. Customers remain responsible for their own compliance, security decisions and use of AI systems.
12. Availability
S&H Solutions aims to provide reliable access to Roxea but does not guarantee uninterrupted or error-free availability. Maintenance, updates or incidents may temporarily affect access.
13. Intellectual property
Roxea, its interface, branding, software, content and structure remain the property of S&H Solutions or its licensors. Customers retain ownership of the data they enter into the service.
14. Liability
To the maximum extent permitted by law, S&H Solutions shall not be liable for indirect damages, loss of profits, loss of business, loss of data, or decisions made based on reports generated by Roxea. Nothing in these Terms excludes liability where it cannot be excluded under applicable law.
15. Termination
S&H Solutions may suspend or terminate access in case of breach of these Terms, non-payment, security risk or unlawful use.
16. Changes to the Terms
S&H Solutions may update these Terms from time to time. The “Last updated” date will identify the latest version. Continued use of Roxea after changes constitutes acceptance of the updated Terms.
17. Governing law
These Terms are governed by French law, unless mandatory consumer or local laws provide otherwise.
